These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Career Agent ("Career Agent", "Company", "we", "our", or "us") governing your access to and use of the Career Agent website, mobile applications, recruiter platform, employer dashboard, APIs, software, artificial intelligence tools, communications, and all related services (collectively, the "Services").
By creating an account, accessing, browsing, downloading, or using any part of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy and any additional policies referenced within these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services.
Career Agent provides technology that assists job seekers, employers, recruiters, educational institutions, consultants, and other organizations throughout the recruitment and employment lifecycle. Our Services incorporate artificial intelligence, machine learning, automation, data analysis, document processing, communication technologies, and other software tools intended to improve recruitment efficiency and career development.
Career Agent is a technology platform. Unless expressly stated otherwise, Career Agent is not an employment agency, labour broker, staffing agency, recruitment consultant acting on behalf of employers, legal adviser, immigration adviser, educational institution, financial adviser, or professional licensing authority. Career Agent does not employ candidates, guarantee employment, guarantee hiring decisions, or make employment decisions on behalf of employers.
Nothing within these Terms creates an employment relationship, agency relationship, fiduciary relationship, partnership, joint venture, franchise, or similar legal relationship between Career Agent and any User.
For purposes of these Terms, the following definitions apply:
You may only use the Services if you have the legal capacity to enter into a binding contract under the laws applicable to your jurisdiction.
If you are using the Services on behalf of a company, organisation, recruitment agency, educational institution, or other legal entity, you represent and warrant that:

Career Agent reserves the right to request identity verification, business verification, proof of authority, or additional documentation at any time.
Failure to provide requested information may result in suspension, restriction, or termination of access.
Career Agent provides an artificial intelligence powered recruitment and career technology platform designed to assist both Candidates and Employers.
Depending on the Subscription plan, location, regulatory requirements, and feature availability, the Services may include:

Career Agent may add, modify, discontinue, improve, replace, or remove any feature at any time without prior notice.
Certain Services may be offered as beta, experimental, early-access, preview, or trial features.
Beta features are provided solely for testing purposes and may contain bugs, interruptions, inaccuracies, incomplete functionality, or unexpected behaviour.
Career Agent makes no guarantees regarding the availability or future release of beta features.
To access certain Services, you must create an Account.
You agree that all information you provide during registration and throughout your use of the Services is accurate, complete, current, and truthful.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your Account.
You must immediately notify Career Agent if you become aware of:

The security of your Account also depends upon the security of your own devices, email accounts, authentication methods, and internet connection. Career Agent cannot guarantee protection against attacks or compromises occurring outside systems under our control.
The Services are intended to facilitate legitimate employment and recruitment activities. You are solely responsible for your conduct and for all Content that you upload, generate, submit, store, publish, or transmit through the Services.
You agree to use the Services honestly, lawfully, and in accordance with these Terms.
6.1 Accuracy of Informations
You represent and warrant that all information you provide through the Services, including your profile, CV, employment history, qualifications, certifications, licences, references, work authorisations, salary expectations, and contact information, is accurate, complete, current, and not misleading.
You are solely responsible for ensuring that any information submitted to employers remains accurate before any application is submitted.
Career Agent is not responsible for inaccuracies, omissions, outdated information, typographical errors, or misleading information supplied by Users.
6.2 Candidate Responsibilities
If you are a Candidate, you agree to:
You acknowledge that Career Agent cannot verify every qualification, certificate, licence, reference, employment history, or claim submitted by Candidates.
6.3 Employer Responsibilities
If you are an Employer, Recruiter, Recruitment Agency, or Hiring Organisation, you agree that you will:
Employers remain solely responsible for all hiring decisions.
Career Agent does not participate in hiring decisions and is not responsible for offers, interviews, employment decisions, salary negotiations, workplace conduct, or employment disputes.
6.4 Responsibility for AI Output
Artificial intelligence may generate inaccurate, incomplete, outdated, biased, or inappropriate content.
You remain solely responsible for reviewing, editing, verifying, and approving any AI-generated output before relying upon or submitting it.
You must exercise independent judgment when using AI-generated resumes, cover letters, interview responses, career advice, candidate rankings, job recommendations, ATS scores, skills analyses, or any other AI-generated material.
To protect the integrity of the Services and our Users, you agree that you will not use the Services in any manner that is unlawful, fraudulent, abusive, harmful, or inconsistent with these Terms.
Without limitation, you may not:
Career Agent may investigate suspected violations and cooperate with law enforcement or regulatory authorities where required or appropriate.
Violation of this Section may result in immediate suspension or permanent termination without prior notice.
Many features offered through Career Agent rely upon artificial intelligence, machine learning, statistical modelling, and automated decision-support technologies.
These technologies are designed to assist Users but should not be regarded as replacements for professional judgment.
AI-generated outputs may include:
AI systems operate using probabilistic models rather than human reasoning.
Accordingly, AI-generated outputs may contain inaccuracies, omissions, inconsistencies, bias, hallucinations, outdated information, or incorrect conclusions.
Career Agent does not warrant that AI-generated content is:
Users are solely responsible for independently reviewing all AI-generated content before relying upon it.
Career Agent reserves the right to improve, retrain, replace, update, suspend, or discontinue any AI model without notice.
AI functionality may evolve over time and results may differ between versions.
Certain Services allow Candidates to authorise Career Agent to automatically identify, prepare, and submit employment applications on their behalf.
By enabling automatic applications, you expressly authorise Career Agent to:
You acknowledge that automatic applications rely upon information contained within your Account.
Accordingly, you remain solely responsible for ensuring that:
Career Agent may use artificial intelligence to determine which positions appear relevant.
Such recommendations are estimates only.
Career Agent does not guarantee that:
Career Agent may decline to submit an application where:
Career Agent is not responsible for employer decisions, delayed responses, rejected applications, duplicate submissions, or technical failures occurring on third-party recruitment systems.
You retain ownership of the intellectual property rights in the Content you create and upload to the Services.
Nothing in these Terms transfers ownership of your Content to Career Agent.
However, by uploading, submitting, generating, recording, or storing Content through the Services, you grant Career Agent a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to:
This licence continues only for so long as reasonably necessary to provide the Services, comply with legal obligations, resolve disputes, enforce our rights, maintain backups, or protect platform integrity.
You represent and warrant that:
Career Agent does not claim ownership of your professional profile, CV, employment history, or personal documents.
However, Career Agent owns all intellectual property rights in:
Except as expressly permitted, no User may copy, reproduce, modify, reverse engineer, distribute, sell, licence, lease, or commercially exploit any part of the Services without Career Agent's prior written consent.
Career Agent provides software and technology designed to assist Employers in managing recruitment processes. The Services may include job posting, applicant tracking, candidate matching, resume parsing, interview scheduling, communication tools, analytics, reporting, artificial intelligence, and related recruitment functionality.
Career Agent acts solely as a technology provider. We do not act as the employer of any Candidate, recruitment agency, employment agency, labour broker, staffing provider, or hiring consultant unless expressly agreed in writing.
Employers remain solely responsible for:
Career Agent does not verify every Employer using the platform and cannot guarantee the legitimacy, financial standing, solvency, reputation, conduct, or intentions of any Employer.
Employers acknowledge that AI-generated rankings, recommendations, and candidate scores are decision-support tools only and must not be relied upon as the sole basis for recruitment decisions.
Employers remain solely responsible for exercising independent professional judgment throughout the recruitment process.
Career Agent reserves the right, but has no obligation, to refuse, suspend, edit, remove, or reject any job posting that we reasonably believe:
Career Agent may remove duplicate, misleading, expired, inactive, or low-quality job postings without prior notice.
Certain Services are available only through a paid Subscription.
Subscription plans, pricing, usage limits, included features, billing intervals, and available payment methods are published within the Services and may change from time to time.
By purchasing a Subscription, you authorise Career Agent and its authorised payment processors to charge the applicable fees using your selected payment method.
Unless otherwise stated at the time of purchase:
If your Subscription automatically renews, you authorise recurring billing until the Subscription is cancelled in accordance with these Terms.

Career Agent is not responsible for overdraft charges, foreign exchange fees, banking fees, payment processor fees, or charges imposed by third-party financial institutions.

Because many Career Agent Services begin immediately after purchase and involve computational resources, artificial intelligence processing, automated systems, digital content generation, or professional services, all purchases are generally final.
Except where required by applicable law, Subscription fees and digital service fees are non-refundable.

Career Agent does not control third-party services and makes no representation or warranty regarding:
Your use of third-party services may be governed by separate agreements between you and the relevant provider.

Where Career Agent submits applications to external recruitment systems, delivery may be affected by technical failures, platform restrictions, API limitations, employer configurations, or changes implemented by those third parties.
Career Agent does not guarantee successful submission to every external platform.
The Services, including all software, source code, object code, artificial intelligence models, machine learning systems, databases, APIs, algorithms, user interfaces, graphics, branding, trademarks, logos, icons, text, documentation, reports, analytics, workflows, designs, and related intellectual property are owned by or licensed to Career Agent and are protected by applicable intellectual property laws.
Except for the limited licence expressly granted under these Terms, no ownership or intellectual property rights are transferred to any User.
Subject to continued compliance with these Terms, Career Agent grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for their intended purpose.
You may not:
You may not use Career Agent's trademarks, logos, branding, trade dress, product names, or marketing materials without prior written consent.
Any suggestions, recommendations, enhancement requests, feature ideas, bug reports, or other feedback submitted to Career Agent may be used by Career Agent without restriction and without compensation to the submitting User.
Nothing in these Terms obligates Career Agent to implement any suggested improvement.
The Services are provided on an "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS" basis to the maximum extent permitted by applicable law.
Career Agent makes no representation, warranty, or guarantee, whether express, implied, statutory, or otherwise, regarding the Services.
Without limitation, Career Agent expressly disclaims all implied warranties of:

Any career advice, recruitment recommendations, AI-generated content, salary estimates, labour market insights, skills analysis, hiring recommendations, interview preparation, analytics, reports, and predictive outputs are provided solely for informational and decision-support purposes.
Users remain solely responsible for exercising independent judgment before relying upon any information generated through the Services.
Career Agent does not guarantee that the Services will meet every User's expectations or business requirements.
To the fullest extent permitted by law, all risks arising from the use of the Services remain with the User.
To the fullest extent permitted by applicable law, Career Agent, its parent companies, subsidiaries, affiliates, directors, officers, shareholders, employees, contractors, consultants, licensors, suppliers, business partners, agents, successors, and assigns shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising out of or relating to your access to or use of the Services.
This limitation applies regardless of the legal theory on which a claim is based, including contract, tort (including negligence), strict liability, statutory liability, misrepresentation, or otherwise, even if Career Agent has been advised of the possibility of such damages.
Without limiting the foregoing, Career Agent shall not be liable for any loss or damage arising from or relating to:
Career Agent is a technology platform that facilitates recruitment and career development. Employers make their own hiring decisions, and Candidates make their own career decisions. Career Agent does not control either party's conduct and is not responsible for decisions made by Employers, Candidates, recruiters, consultants, or other Users.
To the maximum extent permitted by applicable law, Career Agent's total cumulative liability arising out of or relating to the Services shall not exceed the greater of:
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
You agree to defend, indemnify, and hold harmless Career Agent, its parent companies, subsidiaries, affiliates, directors, officers, employees, contractors, licensors, business partners, successors, and assigns from and against any and all claims, demands, proceedings, investigations, liabilities, damages, judgments, settlements, fines, penalties, losses, costs, and expenses (including reasonable legal fees and professional costs) arising out of or relating to
Career Agent reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. In such circumstances, you agree to cooperate fully with Career Agent in the defence of that matter.
Your indemnification obligations survive the termination of your Account and these Terms.
Your privacy is important to Career Agent. Our collection, use, storage, disclosure, transfer, and protection of personal information are governed by our Privacy Policy, which forms part of these Terms.
By using the Services, you acknowledge and agree that Career Agent may collect, process, store, analyse, transfer, and otherwise use information necessary to provide, improve, secure, maintain, and support the Services.

Career Agent implements reasonable administrative, technical, and organisational safeguards designed to protect personal information. However, no system connected to the internet can be guaranteed to be completely secure.
Accordingly, Career Agent does not guarantee absolute security and disclaims liability for security incidents resulting from circumstances beyond our reasonable control.
By creating an Account, you consent to receive electronic communications from Career Agent, including:
Where required by applicable law, you may opt out of promotional communications without affecting essential service-related communications.
These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction determined under applicable conflict of laws principles or, where the parties have expressly agreed in writing, another mutually agreed governing law.
Before commencing formal legal proceedings, the parties agree to make reasonable efforts to resolve any dispute through good-faith negotiations.
If a dispute cannot be resolved through negotiation, the parties may agree to submit the dispute to mediation or arbitration where permitted by applicable law.
Nothing in these Terms prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction where necessary to protect intellectual property rights, confidential information, or other legal rights.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
A failure by Career Agent to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights available to Career Agent.
These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Career Agent regarding the Services and supersede all prior agreements, understandings, representations, and communications relating to the Services.
Career Agent may assign, transfer, subcontract, or otherwise delegate its rights or obligations under these Terms without your consent as part of a corporate restructuring, merger, acquisition, sale of assets, financing transaction, or other business reorganisation. You may not assign or transfer your rights or obligations under these Terms without Career Agent's prior written consent.
Career Agent shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, internet outages, cyberattacks, government actions, pandemics, failures of telecommunications providers, failures of cloud infrastructure providers, or other force majeure events.
These Terms are drafted in the English language. Where translations are provided for convenience, the English version shall prevail to the extent permitted by applicable law in the event of any inconsistency.
